Merck (NYSE: MRK  ) took its first steps toward pharmaceutical dominance on April 30, 1953, when it merged with Sharp & Dohme, a pharmaceutical manufacturer. Until that time, Merck had been primarily a chemical manufacturer, despite its role in producing the earliest doses of penicillin. Together, the two companies combined for $156 million in sales and $12 million in net income for the 1952 fiscal year, but the new Merck's growth was just beginning -- as was its role in modern pharmaceuticals.

Four years after the merger, Maurice Hilleman joined Merck as its head of virus and cell biology research. In this role, Hilleman would develop so many life-saving vaccines that he was later called "the most successful vaccinologist in history" and was credited with potentially saving more lives than any other scientist of the 20th century. Two of Hilleman's critical vaccine developments while at Merck included one for mumps (now part of the standard MMR vaccine) and one for hepatitis B, the latter of which has reduced the disease's incidence in American children by more than 95%.

Electric

Montana-Dakota provides electric service at retail, serving more than 131,000 residential, commercial, indu! strial and municipal customers in 177 communities and adjacent rural areas as of December 31, 2012. The principal properties owned by Montana-Dakota for use in its electric operations include interests in 10 electric generating facilities and three small portable diesel generators, as further described under System Supply, System Demand and Competition, approximately 3,100 and 4,700 miles of transmission and distribution lines, respectively and 51 transmission and 268 distribution substations. Montana-Dakota has obtained and holds valid and existing franchises authorizing it to conduct its electric operations in all of the municipalities it serves where such franchises are required.

The Company, through the Midwest Independent Transmission System Operator, Inc. (Midwest ISO), Montana-Dakota has access to wholesale energy, ancillary services and capacity markets. The Midwest ISO is a regional transmission organization responsible for operational control of the transmission systems of its members. The Midwest ISO provides security center operations, tariff administration and operates day-ahead and real-time energy markets, ancillary services and capacity markets. In 2012, Montana-Dakota purchased approximately 27 % of its net kilowatts-hour needs for its interconnected system through the Midwest ISO market.

Montana-Dakota serves markets in portions of western North Dakota, including Bismarck, Mandan, Dickinson and Williston; eastern Montana, including Glendive and Miles City; and northern South Dakota, including Mobridge. The maximum electric peak demand experienced to date attributable to Montana-Dakota's sales to retail customers on the interconnected system was 573,587 kilowatts in July, 2012. The interconnected system consists of nine electric generating facilities and three small portable diesel generators, which has an aggregate nameplate rating attributable to Montana-Dakota's interest of 488,905 kilowatts. Through the Sheridan System, which is a separate electric system o! wned by M! ontana-Dakota, Montana-Dakota serves Sheridan, Wyoming, and neighboring communities. The maximum peak demand attributable to Montana-Dakota sales to retail customers on that system was approximately 61,501 kilowatts in July, 2012.

Montana-Dakota's four principal generating stations are steam-turbine generating units, which uses coal for fuel. The nameplate rating for Montana-Dakota's ownership interest in these four stations , including interests in the Big Stone Station and the Coyote Station, aggregating 22.7 % and 25%, respectively is 327,758 kilowatts. Two combustion turbine peaking stations, two wind electric generating facilities, a heat recovery electric generating facility and three small portable diesel generators supply the balance of Montana-Dakota's interconnected system electric generating capability.

The Coyote coal supply agreement provides for the purchase of coal necessary to supply the coal requirements of the Coyote Station or 30,000 tons per week, whichever may be the greater quantity at contracted pricing. The Heskett and Lewis & Clark coal supply agreements provide for the purchase of coal necessary to supply the coal requirements of these stations at contracted pricing. Montana-Dakota estimates the Heskett and Lewis & Clark coal requirement to be in the range of 450,000 to 550,000 tons and 250,000 to 350,000 tons per contract year, respectively

Natural Gas Distribution

The Company's natural gas distribution operations consist of Montana-Dakota, Great Plains, Cascade and Intermountain, which sell natural gas at retail, serving over 859,000 residential, commercial and industrial customers in 334 communities and adjacent rural areas across eight states as of December 31, 2012, and provide natural gas transportation services to certain customers on their systems. These services are provided through distribution systems aggregating approximately 18,200 miles.

The Company's purchased natural gas is supplied by a po! rtfolio o! f contracts specifying market-based pricing and is transported under transportation agreements with WBI Energy Transmission, Northwest Pipeline GP, Northern Natural Gas, Gas Transmission Northwest LLC, Northwestern Energy, Viking Gas Transmission Company and Ruby Pipeline LLC. The natural gas distribution operations have contracts for storage services to provide gas supply during the winter heating season and to meet peak day demand with various storage providers, including WBI Energy Transmission, Questar Pipeline Company, Northwest Pipeline GP and Northern Natural Gas. In addition, certain of the operations have entered into natural gas supply management agreements with various parties.

Pipeline and Energy Services

WBI Energy Transmission, the regulated business of this segment, owns and operates approximately 3,800 miles of transmission, gathering and storage lines in Montana, North Dakota, South Dakota and Wyoming. WBI Energy Midstream owns a 50% undivided interest in certain midstream assets located in western North Dakota. Three underground storage fields in Montana and Wyoming provide storage services to local distribution companies, producers, natural gas marketers and others, and serve to enhance system deliverability. WBI Energy Transmission's system is located near five natural gas producing basins, making natural gas supplies available to WBI Energy Transmission's transportation and storage customers. The system has 13 interconnecting points with other pipeline facilities allowing for the receipt and/or delivery of natural gas to and from other regions of the country and from Canada.

WBI Energy Midstream, the non-regulated pipeline business of this segment, owns and operates gathering facilities in Colorado, Kansas, Montana and Wyoming. It also owns a 50% undivided interest in certain midstream assets located in western North Dakota that were acquired in 2012, which include a natural gas processing plant, both oil and gas gathering pipelines, an ! oil stora! ge terminal and an oil pipeline. Prairielands is an energy services business,which provides natural gas purchase and sales services to local distribution companies, producers, other marketers and a limited number of end-users, primarily using natural gas produced by the Company's exploration and production segment. WBI Energy Transmission's underground natural gas storage facilities has a storage capacity of approximately 353 billion cubic feet, including 193 billion cubic feet of working gas capacity, 85 billion cubic feet of cushion gas and 75 billion cubic feet of native gas.

Exploration and Production

Fidelity is involved in the acquisition, exploration, development and production of oil and natural gas resources. Fidelity continues to seek additional reserve and production growth opportunities through these activities. Fidelity's business is focused primarily in two core regions: Rocky Mountain and Mid-Continent/Gulf States.

Fidelity's Rocky Mountain region includes Bakken areas , which includes oil targets in which Fidelity holds approximately 16,000 net acres in Mountrail County, North Dakota, approximately 51,000 net acres in Stark County, North Dakota, and approximately 60,000 net acres in Richland County, Montana; Cedar Creek Anticline, which is in primarily in eastern Montana, the Company has a long-held net profits interest in this oil play. Paradox Basin holds approximately 83,000 net acres located in Grand and San Juan Counties, Utah, targeting oil; Big Horn Basin includes approximately 33,000 net acres in Wyoming, targeting oil and Natural gas liquids (NGL); Green River Basin properties primarily includes natural gas targets in Wyoming in which the Company holds approximately 36,000 net acres; Baker Field is a long-held natural gas properties in which Fidelity holds approximately 99,000 net acres in southeastern Montana and southwestern North Dakota; Bowdoin Field is a long-held natural gas properties in which Fidelity holds approximately 127,000 net! acres in! north-central Montana, and Other includes other exploratory oil projects in the Niobrara play in Wyoming and the Heath Shale in Montana; along with the Powder River Basin natural gas properties, which Fidelity is pursuing divestment of and various non-operated positions.

Fidelity's Mid-Continent/Gulf States region includes South Texas area includes approximately 9,000 net acres in the Tabasco, Texan Gardens and Flores fields, this area has NGL content associated with the natural gas. East/Central Texas holds approximately 27,000 net acres, primarily natural gas and associated NGL. Other includes various non-operated onshore interests, as well as offshore interests in the shallow waters off the coasts of Texas and Louisiana. At December 31, 2012, there were 44 gross (17 net) wells in the process of drilling or under evaluation, 39 of which were development wells and 5 of which were exploratory wells.

Construction Materials and Contracting

Knife River operates construction materials and contracting businesses. These operations mine, process and sell construction aggregates (crushed stone, sand and gravel); produce and sell asphalt mix and supply ready-mixed concrete for construction, including roads, freeways and bridges, as well as homes, schools, shopping centers, office buildings and industrial parks. Although not common to all locations, other products include the sale of cement, liquid asphalt for various commercial and roadway applications, various finished concrete products and other building materials and related contracting services.

Construction Services

MDU Construction Services specializes in constructing and maintaining electric and communication lines, gas pipelines, fire suppression systems, and external lighting and traffic signalization equipment. This segment also provides utility excavation services and inside electrical wiring, cabling and mechanical services, sells and distributes electrical materials, and manufactures ! and distr! ibutes specialty equipment. These services are provided to utilities and manufacturing, commercial, industrial, institutional and government customers. MDU Construction Services operates a fleet of owned and leased trucks and trailers, support vehicles and specialty construction equipment, such as backhoes, excavators, trenchers, generators, boring machines and cranes. In addition, as of December 31, 2012, MDU Construction Services owned or leased facilities in 17 states. This space is used for offices, equipment yards, warehousing, storage and vehicle shops.

Tysabri

Tysabri, which is an alpha-4 integrin inhibitor, is a therapy for MS, a neurological disorder involving central nervous system dysfunction among adults. Tysabri is approved in more than 65 countries. Tysabri is approved in the United States as a monotherapy for relapsing forms of MS, for patients who have had an inadequate response to, or are unable to tolerate, an alternative MS therapy. In the European Union, it is approved for relapsing-remitting MS (RRMS) in adult patients who have failed to respond to beta interferon or have rapidly evolving, severe RRMS. As of December 31, 2011, there were approximately 64,400 patients on Tysabri therapy worldwide.

In June 2011, the European Commission (EC) approved the inclusion of the anti-JCV antibody status as an additional factor in stratifying patients at risk for developing PML in the Summary of Product Characteristics�� (SmPC) for Tysabri in the European Union. The Company has developed a two-step ! enzyme-linked immunosorbent assay (ELISA), STRATIFY JCV, with Biogen Idec. Beta amyloid immunotherapy includes the treatment of Alzheimer��s disease by inducing or enhancing the body��s immune response in order to clear toxic species of beta amyloid from the brain. The AIP includes bapineuzumab (intravenous and subcutaneous delivery) and ACC-001, as well as other compounds. Bapineuzumab is an experimental humanized monoclonal antibody delivered intravenously that is being studied as a treatment for mild to moderate Alzheimer��s disease. It is designed to provide antibodies to beta amyloid directly to the patient (passive immunotherapy).

ELND005, an A� Aggregation Inhibitor

The small molecule ELND005 (Scyllo-inositol) is a beta amyloid anti-aggregation agent. Preclinical data suggest that ELND005 may act through the mechanism of preventing and reversing the fibrilisation of beta amyloid (the aggregation of beta amyloid into clumps of insoluble oligomers). ELND005 may have additional applications in psychiatric indications, such as bipolar disorder. In November 2011, the Company entered into a manufacturing agreement for the supply of the active pharmaceutical ingredient for ELND005 with Lonza Group AG.

Neotope Biosciences Limited

Neotope Biosciences Limited (Neotope) is the Company��s wholly owned subsidiary that focuses on the discovery and development of antibodies to neo-epitope related targ! ets for t! he treatment of a range of indications. It includes amyloidosis, diabetes, cancer and macular degeneration.     Then there's the company's El Cubo mine, which it purchased in 2012 from AuRico Gold (NYSE: AUQ  ) with a combination of its own shares and cash for up to $250 million ($50 million is contingent on mine productivity over a three-year period). As fellow Fool Christopher Barker has commented previously, AuRico did a disastrous job of managing the El Cubo mine, which leaves Endeavour with a tremendous opportunity to reap the rewards of AuRico's failures.

Hire a Nanny or Send Your Child to Day Care?

Choosing whether to send your child to day care or hire a nanny is a tough decision to make -- both emotionally and financially. My husband and I recently struggled to decide which of these two care options would be best for our third child and for us.

For our first two children, we hired nannies to watch them. The arrangement was great because I worked from home and was able to eat lunch with my girls most days, and the nannies did a good job of keeping them occupied (and away from me) while I was writing. And financially, it made more sense to hire one person to care for our two kids than to pay for both girls to go to day care.

Our daughters are in school now, so our son is the only child in the family who needs daytime care. This time, we opted for day care because it costs us at least $100 a week less than employing a nanny and, in all honesty, it's easier.

If you recently had a child or are returning to the workforce and now need child care, here are the pros and cons of day care and nannies.

Day care

Pros. Selecting a day-care facility for your child can be just as difficult as finding a good nanny. But once you've found the right fit, day care is a breeze. My husband or I drop off my son and the center's staff handle everything while we work. I don't even have to pack a lunch or snacks for him; food is provided at the center. We can have weekly payments automatically deducted from our checking account. And it's reliable. If his regular care provider is sick, there are others on staff to fill in.

Plus, you can offset some of the cost of day care with tax breaks. You can claim the child-care tax credit if you pay for care for children younger than 13 while you work. You can count up to $3,000 in qualifying child-care expenses for one child, or up to $6,000 for two or more children. The tax credit is worth a percentage of the amount spent on child care. The percentage ranges from 20% to 35%, depending on your adjusted gross income.

However, if your employer offers a dependent-care flexible spending account, that may be a better deal. You can set aside up to $5,000 a year to cover child-care costs for children younger than 13. The money you contribute to an FSA escapes income taxes and Social Security and Medicare taxes. You might be able to take advantage of both tax breaks. Cons. Most facilities operate during normal daytime work hours. So if you work, say, from the afternoon into the night, day-care hours might not mesh with your work hours. If you have two or more children, then day care might cost more than paying the salary of one nanny to watch all of your kids. And germs are spread so easily among little kids at day care that you might have to frequently take off days from work to care for a sick child (and you'll still have to pay for those days when he's home).

Nanny

Pros. Your child doesn't have to compete with several other children to get the caregiver's attention. He can interact one-on-one with a nanny in the comfort of his own home, take naps in his own bed and play with his own toys that a multitude of other kids haven't stuck in their mouths. If you work from home, you'll have the opportunity to interact occasionally with your child during the day. And a nanny can offer flexible hours and accommodate parents who don't have typical 9-to-5 work schedules.

Cons. Hiring a nanny is taxing -- literally. I can tell you from experience that dealing with the tax implications of employing a nanny is a pain. You must withhold and pay Social Security and Medicare taxes if you pay a household employee $1,800 or more a year. For 2013 you'll pay the employer's share of 7.65% of wages -- 6.2% for Social Security and 1.45% for Medicare --and you'll withhold the same amount (the employee's share) from your nanny's paycheck.

You also have to pay a federal unemployment tax on the nanny's first $7,000 of wages if you pay her $1,000 or more in any calendar quarter. Your state may levy an unemployment tax, as well. Check with your state's labor department. The federal unemployment tax is 6%, but you may be able to get a credit of up to 5.4% by paying your state's unemployment tax. Stephanie Breedlove, head of Care.com HomePay and founder of Breedlove and Associates, a nanny payroll service, says you can offset some of these household employee taxes by taking advantage of the child-care tax credit or a dependent-care FSA (see above)

To pay these so-called nanny taxes, there's lots of paperwork involved. You must get an employer identification number by filling out a federal Form SS-4 or applying online at IRS.gov. You must also fill out the appropriate form with your state to get an identification number. You must make quarterly estimated payments to cover your extra tax liability (or adjust your tax withholding from your paycheck). You'll file a Schedule H with your federal tax return in the spring to report household employment taxes. You're not required to withhold federal income taxes from your nanny's paycheck, but you can if the nanny asks and you agree. If so, complete a Form W-2, "Wage and Tax Statement," and a Form W-3, "Transmittal of Wage and Tax Statements." To avoid hassles, you can pay for a nanny payroll service such as Care.com HomePay, which Breedlove says charges $175 a quarter.

Logistics Services

In addition to arranging for transportation, the Company provides logistics services, either on-site (in the case of some enterprise clients) or off-site, to manage the flow of those goods from origin to destination. Its core logistics services include rate negotiation; procurement of transportation, both contractually and in the spot market; shipment execution and tracking; carrier management, ! reporting! and compliance; executive dashboard presentations and detailed shipment reports; freight bill audit and payment; claims processing and service refund management; design and management of inbound client freight programs; individually configured Web portals and self-service data warehouses; enterprise resource planning (ERP) integration with transactional shipment data, and integration of shipping applications into client e-commerce sites. Technology Platform

The Company�� ETM technology platform allows it to analyze its clients' transportation requirements and provide customized shipping recommendations. It collects and store pricing and market capacity data in its ETM database from each interaction with carriers, and its database expands as a result of these interactions. It has also developed data acquisition tools, which retrieve information from both private and public transportation databases, including subscription-based sources and public transportation rate boards, and incorporate that information into the ETM database. Its clients communicate their transportation needs to it electronically through its EchoTrak web portal, other computer protocols, or by phone. ETM generates pricing and carrier information for its clients by accessing pre-negotiated rates with preferred carriers or using present or historical pricing and capacity information contained in its database. If a client enters its own shipment, ETM automatically alerts the appropriate account executive. After the carrier is selected, either by it or the client, its account executives use its ETM technology platform to manage all aspects of the shipping process.

The Company�� FastLane is an Internet-based Web portal, which allows its carriers! to view ! shipments available for tender, update equipment availability and preferred lanes, check on the status of all unpaid invoices, unbilled shipments, shipments in transit and other information used to resolve any billing discrepancies. There is also a mobile FastLane application, which allows carriers to view similar information remotely. eConnect is a set of tools, which allows the Company�� clients and carriers to interact directly with ETM electronically through any of several computer protocols, including EDI, extensible markup language (XML) and file transfer protocol (FTP). The eConnect tools serve as an electronic bridge between the other elements of its ETM technology platform and its clients' enterprise resource planning (ERP), billing, accounts receivable, accounts payable, order management, back office and e-commerce systems. Through eConnect, its clients are able to request shipping services and receive financial and tracking data using their existing systems.

EchoTrak is an Internet-based Web portal, which connects and integrates its clients with ETM. By entering a username and password, its clients are able to enter orders, display historical and active shipments in the ETM system using configurable data entry screens sorted by carrier, price, delivery date, destination and other relevant specifications. EchoTrak also generates automatic alerts to ensure that shipments are moving in accordance with the client specifications and timeline. There is also a mobile EchoTrak application, which allows customers to perform similar functions remotely. RateIQ2.0 is a pricing engine, which manages LTL tariffs and generates rate quotes and transit times for LTL shipments. RateIQ2.0 also provides integrated tools to manage dispatch, communications, data collection and management functions relating to LTL shipments. LaneIQ is a pricing engine, which generates rate quotes for TL shipments. LaneIQ also provides integrated tools to manage dispatch, communications, headhaul and backhaul data col! lection a! nd management functions relating to TL shipments. EchoPak is a small parcel pricing and audit engine. For each small parcel shipped, EchoPak audits carrier compliance with on-time delivery requirements and pricing tariffs. In addition, EchoPak tracks information for each parcel and is able to aggregate and analyze that data for clients. For instance, clients are able to view shipments by date, business unit, product line and location, and clients can access information regarding service levels and pricing.

The Company�� Shipment Tracking stores shipment information en-route and after final delivery. The shipment data is acquired through its carrier EDI integration, allowing its clients to track the location and status of all shipments on one screen, regardless of mode or carrier. Final delivery information is permanently archived, allowing it to provide its clients with carrier performance reporting by comparing actual delivery times with the published transit time standards.

Document Imaging allows the Company to store digital images of all shipping documents, including bills of lading and delivery receipts. CAS (Cost Allocation System) automatically audits carrier invoices against its rating engine and accounts payable accrual system. If the amounts match, the invoice is automatically released for payment. If the amounts do not match, the invoice is sent to various administrative personnel for manual processing and resolution. CAS also integrates to its general ledger, accounts receivable and accounts payable systems. Accounting includes its general ledger, accounts receivable and accounts payable functions. Accounting is integrated with CAS and EchoIQ. EchoIQ stores internally and externally generated data to support its reporting and analytic functions and integrate all of its core applications with ETM. ETM supports its logistics services, which it provides to its clients as part of its value proposition. The grain segment consists of three primary segments: food grains (mainly wheat, oats and malting barley), feed grains and feed grain products (including feed barley, feed wheat, peas, corn, ethanol and dried distillers grains), and oilseeds and oilseed nproducts (primarily canola seed, oil and meal, and soybeans).

Intermodal

The intermodal commodity group is consists of two segments: domestic and international. The domestic segment transports consumer products and manufactured goods, operating through both retail and wholesale channels, within domestic Canada, domestic United States., Mexico and transborder, while the international segment handles import and export container traffic, directly serving the ports of Vancouver, Prince Rupert, Montreal, Halifax and New Orleans.

Automotive

The automotive commodity group moves both finished vehicles and parts throughout North America, providing rail access to certain vehicle assembly plants in Canada, and Michigan and Mississippi in the United States. Norfolk Southern (NSC) engages in rail transportation of raw materials, intermediate and finished goods operating approximately 20,000 router miles across the southern and eastern US. NSC and other railroads stand to benefit from the oil boom in continental US, and before permanent pipelines are put in place, railroads are the only option available to transport the huge supplies. NSC is a dividend contender raising its dividends for 12 consecutive years and has a 5-yr DGR of 10.8% and 10-yr DGR of 21.1%. Procter & Gamble (PG) and Unilever plc (UL) are giants in the consumer packaged goods field. PG has five segments - beauty, grooming, healthcare, fabric care and home care.
